ABOUT THE OPPORTUNITY:
We are seeking a dynamic individual for the role of Analyst – Transaction Structuring. This is a key position with a high level of responsibility, internal visibility, and impact. This is a unionized position represented by AMAPCEO.
The Analyst, Transaction Structuring is accountable for supporting leadership in transaction structuring, drafting of transaction agreements (binding and non-binding), coordination of closing activities, and supporting the development of new IvO incentive instruments to improve investment attraction outcomes for the province.
Working together with the other Strategies and Business Solutions (“SBS”) business units and the Business Development team at IvO, the Analyst, Transaction Structuring will support the Director, Transaction Structuring in executing incentive transactions, creating customized investment solutions that respond to the unique requirements of investors, and use novel transaction strategies to increase Ontario’s competitiveness and positioning as a top tier destination for domestic and global investment.

JOB RESPONSIBILITIES:
- Provide transaction structuring support to the Director in response to issues and risks to achieving IvO’s mandate, providing evidence-based recommendations for change.
- Perform exhaustive due diligence on ongoing transactions and translate them into inputs for transaction structuring.
- Provide financial modeling support and updating of existing models for transactions to the Director.
- Support the interface with internal and/or external legal support to draft both binding and non-binding transaction documentation including letters of intent, term sheets, and definitive/binding transaction documentation with the collating and updating commercial terms.
- Support the transaction closing processes including securing necessary transaction documentation, closing-out conditions’ precedent, and securing the necessary approvals and signatories to close.
- Work closely with the Business Intelligence & Transaction Analytics function to perform return on investment and value for money modeling; accurately reflecting the contemplated transaction structure and incentive instruments while working collaboratively to continually improve the underlying calculation methodologies.
- Ensure that transactions receive appropriate internal IvO approvals and work with the Ministry to secure external transaction approvals as required.
- Ensure that IvO service standards are met or exceeded for transaction turnaround time and time to close.
- Work with the Director, Transaction Structuring in supporting the department’s operational plans and the development and reporting on performance metrics, program effectiveness, risks and impacts related to the transaction structuring function.
- Participate on projects within the organization to represent the department’s interests in transaction structuring decision making.
- Work in collaboration with colleagues on department priorities for IvO.
WHAT IT TAKES TO BE SUCCESSFUL
Education and Experience
- Degree in Economics, Business Administration, Finance, or related field.
- At least 3 years of relevant experience in working with a team in a transaction execution capacity (private equity, investment banking, project finance, transaction advisory, or similar) and experience structing both equity and debt agreements.
- Advanced Excel and financial modelling skills
- Experience working in an early stage/start-up environment and working in or with government.
- Experience in global and/or domestic investment attraction an asset.
Knowledge and Skills
- Knowledge and expertise driving successful project and investment outcomes.
- Excellent relationship management skills with the ability to collaborate with a diverse group of stakeholders across the organization.
- Consultative approach to planning and problem solving.
- Excellent verbal and written communication skills to effectively engage with senior internal and external stakeholders and the ability to simplify complex topics for delivery to different audiences.
